Birmingham Winding Up Petition

An Aim-listed architecture firm Archial, with an office in Birmingham UK, went into administration.

The move follows a failure in negotiations with the tax authority HMRC, which had issued a winding up petition against the firm.
 
Archial had been in discussions with HMRC over money it owed but its proposal of a payment plan was turned down, forcing the architects to call in the administrators.
 
In a statement issued to the London Stock Exchange, the firm said David Chubb and Graham
 
Frost of PwC had been appointed joint administrators of Archial and some of its subsidiaries.
 
It added: “The joint administrators will be seeking a rapid sale of the business as a going
 
concern to achieve the maximum realisations for the creditors of the group.
 
“The directors continue to believe that the group operates a good business, and are confident that the administrators will achieve a sale of the business as a going concern.”

The presentation of a winding up petition has serious consequences for the directors and the company, but before we go any further let me give a case study of what can be achieved with professional advice. How To Stop A Winding Up Petition

It is important that you take professional advice to reduce your personal and the business liabilities right now before it is to late.

 

Company "A" had 38 retail stores selling household furniture with sales declining daily and unable to pay its bill as they fell. The company was presented with a winding up petition due to unpaid Inland Revenue and VAT debts.
 
The company had a combination of freehold and leasehold stores in prime retail sites across the country. The company employed a workforce of 260 people on its payroll. A final decision had been made to place the company into Administration before the winding up petition date for this we needed permission of the courts which we obtained on the grounds that there was a better chance of greater dividends going down the administration route than the winding up order and compulsory liquidation route for all the creditors and the employees of the company. The courts accepted the plan and gave us 6 weeks to come back and report further progress.
 
Within the 6 week period deep cuts were made to staffing numbers and closure of stores that were not profitable. 11 stores were kept and the rest were sold or leases terminated, the 11 stores were the ones that were making good profits and allowed the company to grow without the losses which it had been getting every trading day before the winding up petition and us getting an administration order in place to protect the company.
 
By the time we had restructured the company the creditors all agreed to accept £0.40p in every pound owed which allowed the company to continue trading more profitably. Once the administration order had run it’s course the company was then liquidated. 
 
The above case demonstrates what can be achieved if experts are brought into the picture earlier rather than later on in the winding up petition process.  Now back to further information about winding up petitions and some of the consequences.
  
 The presentation of a winding up petition has serious consequences for the viability of your company and these are detailed below:
 
Protection of assets between petition and order
 
Once the winding up petition has been presented, a date is set for a court hearing at which the petition will be heard and a winding up order made against your company. A considerable time may elapse between the presentation of the winding up petition and the hearing for the making of the order.

In general, your company should be allowed to continue to trade in that period but the creditors need to be protected against possible disposal of its assets. Your actions as a director are therefore under great scrutiny in this period of time and the ability to trade effectively can be impaired due to the impending hearing being at the forefront of your mind.
 
Invalidation of disposal of assets
 
Unless the court orders otherwise, any disposal of your company’s property, alteration in the status of its members or transfer of shares after the commencement of the winding up petition is void. The purpose of this provision is to preserve the value of the assets of a company for the benefit of persons interested in those assets.
 
Provisional liquidators
 
At any time after the presentation of the winding up petition the court may appoint the Official Receiver or an insolvency practitioner to be the provisional liquidator of the company.  The primary reason for such appointment is usually to safeguard the assets pending the winding up hearing. Since an appointment anticipates the making of a winding-up order this appointment is usually made only with the consent of the company itself or in a clear case of insolvency.
 
Compulsory winding up petition / liquidation takes away control from you as a director of the company and it is important for you to take control of the situation and be in control of your own destiny.

The ruling was made by a French trade court Friday.

It comes after a last-gasp bid for Carrere by Luxembourg-based Omega Entertainment was rejected.

Omega was reportedly willing to pay around 50 million Euros ($63 million) for the Carrere Group, but wasn’t able to guarantee that sum in cash.

The French court’s decision was widely expected. An early victim of the credit crunch, of fast-paced expansion between 2000 and 2005 and the reluctance of its founder, Charles Carrere, to cede control, Carrere was placed in receivership in Dec. 2008.

The liquidation, which runs to Sept. 30, looks set to bring down the flag on bidding wars for some of Carrere’s plum assets.

These include Didier Brunner’s film-TV animation production powerhouse Les Armateurs, which snagged two Academy Award noms for "Triplets of Belleville" and one for "The Secret of Kells."

Another successful Carrere concern is Ego Prods, producer of broadcaster TF1′s "Une famille formidable" and the French redo of U.K. ITV’s "Doc Martin," also for TF1.

Top Gallic companies such as Lagardere Ent., Zodiak’s Marathon and TelFrance are all said to be in the running to purchase Carrere shingles.

Martin Dawn PLC, a property development company, is facing a winding up petition from Revenue and Customs.

It means even if Southend United avoid being placed into temporary administration over a £200,000 unpaid PAYE bill at the High Court on Thursday, Mr Martin faces yet another tax showdown in November.

Martin Dawn is pivotal to the Blues as it is the parent company of South Eastern Leisure UK Limited, which owns 76 per cent of the shares in Southend United.

An Echo special investigation last week revealed a wind-up petition had been filed against Martin Dawn, but neither Revenue and Customs nor Mr Martin would disclose the amount of unpaid tax involved in the case.

However, yesterday at the High Court, Mr Registrar Nicholls agreed to an application by the Echo to inspect the petition on grounds of public interest.

The document filed last July states: “The company is indebted to your petitioner in the sum of £96,367. Notwithstanding such application, the company has failed and neglected to pay or satisfy the said sum or any part there of. The company is unable to pay its debts.

“In these circumstances it is just and equitable the company be wound up.”

The alleged tax debts relate to shortfalls in national insurance and PAYE and interest for its six employees since financial year 2001/01. More than £15,000 of it stems from 2009/10 It is understood Martin Dawn, set up in 1983 as Martin Homes (Essex) Limited, will contest the amount of money claimed to be owed. The company has successfully defended six previous winding up petitions since 1999 when the taxman made a previous bid to close down the firm.

The most recent petition is the second from Revenue and Customs, the others have been from companies or individuals.

The investigation found that Sixty-Sixty Four Limited, trading as ‘UPstreet’, who produced two fashion and lifestyle magazines aimed at men (www.upstreet-magazine.co.uk) was operated by its directors with a lack of commercial probity, was insolvent and had owed money to at least eight employees and freelance journalists from 2008.

Commenting on the case, Company Investigations Supervisor, Chris Mayhew said; 

“The evidence uncovered by this investigation discloses this was the third company used by the directors as a shield to protect themselves from the liabilities incurred in running a publishing business. Sixty-Sixty Four Limited was operated with cynical disregard for staff, contributors, photographers and journalists, many of whom remain unpaid.”

Gavin Knight a former editor of the magazine ‘Palladium’ obtained a judgement in the Brentford County Court against the company in February 2009 for £3,985. The company counterclaimed for £60,000 requesting an adjournment of the claim which was refused as no supporting evidence was presented. The editor’s judgement debt remains unpaid. Speaking after the High Court case Mr Knight said;

"It is good that justice has finally seen to be done for all the freelance journalists who wrote articles in good faith for these magazines, but remained unpaid. It’s tough enough out there making a living as a freelance journalist without having to pursue payment through the courts."

The first magazine “UPstreet”, with a claimed readership of 55,000, had previously been published both in French and English by two other related companies which subsequently failed. Although both earlier companies went into insolvent liquidation owing between them over £351,000, Sixty-Sixty Four Limited suggested in its business plan that no major creditors suffered losses as a result. 

From May 2008 the company began publishing a second magazine in English called “Palladium” and according to the business plan Sixty-Sixty Four Limited held the copyright in respect of both magazines.

The company’s income was derived from subscriptions and from selling advertising space to well know designer brands such as Jean Paul Gaultier, Hermes, Hugo Boss, Lacoste, Levis Strauss, Prada, Puma and Kenzo. 

The Insolvency Service investigation found that the company:-

· was operated with a lack of commercial probity; 

· was insolvent;

· provided misleading information to potential advertisers, funders and subscribers;

· failed to maintain proper accounting records; and that

· at least eight employees and freelance journalists to the magazines also went unpaid. 

Sixty-Sixty Four Limited was incorporated on 20 March 2007. Its registered office was recently changed from 92 Cromer Street, London, WC1H 8DD to Suite 40, The Market Building, 191-195 High Street, Brentford, Middlesex, TW8 8LB. The directors of the company throughout were Mr Roger Stephane Dhelens and Mr Romain Dominique Ibanez. The secretary of the company until 1 October 2009 was Asiduus Limited. 

The company’s business was creating and producing “niche” magazines for men in French and English. The magazine UPstreet was published in English and French and a further magazine Palladium was produced for the UK market. Both titles are said to have been published under licence from Mr Dhelens and Mr Ibanez.

The magazine UPstreet was initially published by Mr Dhelens and Mr Ibanez in France before it was launched in the UK by Upstreet International Limited. According to Mr Dhelens, Upstreet International Limited published both the French and UK versions and then Artwall Limited (see 5 below) began publishing both versions of UPstreet with the “consent” of Upstreet International Limited. Both companies were subsequently placed into liquidation owing substantial amounts to creditors.

Upstreet International Limited (in liquidation) was incorporated on 28 November 2000. Its registered office prior to liquidation was at 107-111 Fleet Street, London, EC4A 2AB. The directors of the company were Mr Roger Stephane Dhelens (who was also company secretary from 27 May 2003 in succession to Ms Myriam Coupard) and Mr Romain Dominique Ibanez. The company was placed into Creditors Voluntary Liquidation on 4 September 2007 with no assets and a reported deficiency of £248,222.

Artwall Limited (in liquidation) was incorporated on 7 May 2003. Its registered office prior to liquidation was at 92 Cromer Street, London, WC1H 8DD. The directors of the company were Mr Roger Stephane Dhelens, Mrs Ariane Dhelens (until 30 October 2003) and Mr Romain Dominique Ibanez (from 20 March 2005). Mr Ibanez was also company secretary from 20 March 2005 in succession to Mr Jean Bernard Dhelens. The company was placed into Creditors Voluntary Liquidation on 4 September 2007 with no assets and a reported deficiency of £102,782. 

On 4 January 2008 the liquidator of Upstreet International Limited and Artwall Limited sold the goodwill of both companies to Sixty-Sixty Four Limited for £9,400 and the company, under the control of Mr Dhelens and Mr Ibanez, continued to publish UPstreet and also published Palladium for the UK market.

Whilst mention of licences and agreements relating to the arrangements for use of the intellectual property rights for UPstreet and Palladium were made to the investigation, no documents have been produced and although the rights in Palladium are shown as belonging to Sixty-Sixty Four Limited in the company’s draft accounts, they are in fact registered to Mr Dhelens and Mr Ibanez. The company’s draft accounts also disclose liabilities of £102,460 in relation to credit card debts although again there is no documentation to show that the company had any credit cards of its own.

The petition to wind up Sixty-Sixty Four Limited in the public interest was issued in the High Court on 12 June 2009 under section 124A of the Insolvency Act 1986. Meanwhile and notwithstanding the presentation of the winding up petition a meeting of creditors was convened on 30 June 2009 to consider a Creditors Voluntary Arrangement at which the company disclosed assets of £6,999 and liabilities totaling £274,711.The directors’ proposal was accepted by the company’s creditors and joint supervisors were appointed to administer the scheme. The assets to be introduced into the scheme were estimated to be £120,000 comprising monthly contributions of £2,000 by the company over a 5 year period.

At the first hearing of the winding up petition on 14 October 2009 the company opposed the winding up and directions were given by the Court for the filing of further evidence. A three day hearing was accordingly fixed by the Court to commence on 22 June 2010.

On 26 October 2009 the joint supervisors reported that the proposals agreed at the meeting of creditors held on 30 June 2009 had not been complied with as the company had failed to make the monthly contributions (a single payment of £2,000 only was made) and formally confirmed that the Creditors Voluntary Arrangement had failed and that there were insufficient funds to enable the joint supervisors to issue winding up proceedings.

On 12 May 2010 the company filed dormant accounts for the year ended 31 March 2009 and on 3 June 2010 filed dormant accounts for the year ended 31 March 2010.

On 20 May 2010 the company, through its director Mr Dhelens, stated that the company, while not agreeing to the grounds, no longer opposed the winding up. The matter was duly heard by the Court on 25 June 2010 and the company was ordered into liquidation on grounds of public interest.

Southend United Football Club has been served with another winding-up petition by Her Majesty’s Revenue and Customs over unpaid tax.
The League Two side owes around £200,000 from April and May this year.

The club, which has appeared several times in the High Court over unpaid tax debts in the last 12 months, is due back there on 8 July.


Chairman Ron Martin said: "I will ensure that the entire sum is settled before the hearing."
He added: "And I will continue to ensure that the necessary finances are in place in order to steer this ship into calmer waters.


"HMRC were quick off the mark as they are with football clubs and of course are entitled to be."
A statement on the club’s official website said: "Southend United has been subject to several winding-up petitions over the past 12 months but the club has always met their debt in full, albeit late."
The Blues have slashed their wage bill in recent weeks by releasing key players and are still under a Football League transfer embargo due to delays in paying staff salaries.

Begbies Traynor’s latest Red Flag update has found that the number of companies experiencing significant or critical financial problems has fallen year on year, although there has been a slight increase compared with the final quarter of 2009.

In the first quarter of 2010, there were 13,880 companies facing significant or critical difficulties, compared with 12,970 in the last quarter of 2009 and 15,451 in the first quarter of last year.

Companies with “significant problems” are those with either a court action or average, poor, very poor, insolvent or out-of-date accounts.

Companies with “critical problems” are those with county court judgments totalling £5,000 or more or wind-up petition-related actions.

Nationally, there are more than 160,000 companies experiencing significant or critical financial distress. Between them they owe more than £55 billion to creditors, suppliers and service providers.

Begbies Traynor said part of the rise in critical problems reflects a shift in trade creditor behaviour, with an increasing number willing to take court action against their debtors.

The remainder of the increase could be attributed to the normal seasonal uplift.

James Martin, a partner at Begbies Traynor in Birmingham, said: “While the economy appears to be showing positive signs of recovery, the magnitude of the liabilities still at risk of default represents a serious risk to creditors, indicating the potential far-reaching impact of these levels of distress.

“It is this ripple effect which represents a real threat to a sustained economic recovery.

“Faced with these risks, and a growing need to bolster their own funding for the recovery phase, trade creditors are increasingly seizing the opportunity to take action against their debtors in order to raise much needed working capital.

“This shift in behaviour heralds a new phase in the cycle, putting businesses experiencing financial problems at greater risk of failure.”

Interest rates will also have a role to play, with the latest Reuters poll of over 50 financial institutions predicting a rise of one per cent over the next 12 months, thereby tripling current base rate, with some banks forecasting a rise of as much as 1.5 per cent.

Mr Martin added: “Low interest rates have been one of the principal reasons why business failures have not yet reached the peak levels many feared this savage recession would cause.

“A rise may tip more struggling businesses over the edge later in the year and through into 2011, especially in the embattled but vital SME sector which cannot afford the protection of sophisticated interest rate hedging.”

But today it is just as likely to be companies that shop the world for the most favourable regime for their activities.

It is called ‘jurisdiction shopping’ and according to some it is making a mockery of national laws and taxes, with London emerging as the best location for going bust.

The Greek telecoms group Wind Hellas, owned by an Italian investment firm that is run by an Egyptian billionaire, moved to London and almost immediately went bust, raising the question of whether this was the real purpose of the move. The plan cost creditors, including British State-owned banks, tens of millions of pounds.

London’s unenviable reputation as the favourite graveyard for terminally ill companies is the result of badly thought-out European regulations and controversial company insolvency schemes called ‘pre-pack administrations’ that have evolved in the past few years.

City lawyers confirm that in recent years a growing number of companies have chosen to move their headquarters just before going bust. Two of the most high profile have been German car parts maker Schefenacker and Wind Hellas.

Insolvency tourists have not been welcomed by hedge fund manager Bertrand des Pallieres, whose SPQR, which has offices in London and Paris, lost tens of million of pounds in the collapse of Wind Hellas, ultimately owned by Weather Investments, a group run by Egyptian billionaire Naguib Sawiris.

Wind Hellas is one of Greece’s largest telecoms groups, with about four million customers and a turnover of more than £1 billion a year. Previously known as TIM Hellas, it was bought out by private equity groups Apax partners and Texas Pacific Group in 2005 and then sold to Weather in 2007 when it was renamed Wind Hellas in line with Weather’s other European mobile brand Wind Italia.

Last summer the troubled Wind Hellas moved its registered address from Luxembourg to an address in the City of London. Within weeks it went bust, eventually using pre-pack administration.
 

In a normal insolvency an administrator is appointed to realise as much as possible for creditors either by selling assets or the whole business. In a pre-pack, the resale of the company is agreed in advance of administration. In a matter of days, or even hours, a company can appoint an administrator and be resold.

In the process some creditors will lose the money they are owed though in theory it can save a company and jobs that might be destroyed by a prolonged administration.

Wind Hellas became the biggest ever pre-pack – some holders of corporate bonds issued by the company lost a total of £1.3 billion. Des Pallieres claims that administrator Ernst & Young brushed aside an alternative rescue plan and the company was quickly sold on. The buyer was another arm of the Sawiris empire. ‘The pre-pack was used to buy their own company without some of its debts,’ said a furious Des Pallieres. ‘England is known for its good laws, but this is turning it into a bordello for companies to go bust in.’

Des Pallieres also alleges that Matthew Tippetts, the independent director at Hellas who was in charge of the administration and who eventually recommended the sale to Weather, was in fact being paid by Weather in the run-up to the administration. The 33-year-old Tippetts had never been director of any company before his appointment at Wind Hellas.

Des Pallieres plans to sue. Other bondholders also plan to challenge the pre-pack administration in the High Court.

Stefano Songini, investor relations director at Weather Investments, said he had never heard of SPQR nor its allegations and insisted Weather had not orchestrated the Wind Hellas administration. ‘The pre-pack was handled by Hellas on an arm’s-length basis,’ he said. ‘It was an open and transparent process handled by the Hellas board as an independent entity.’ Tippetts could not be contacted.

Richard Nevins, senior partner and head of restructuring at City law firm Cadwalader, explained how London had come to be favoured for administration. ‘There were not that many examples of this until 2002 when the European Insolvency regulations said a company’s ”centre of main interests” could be defined by the address of its registered office. The unforeseen consequence is that it is relatively easy to relocate your centre of main interests,’ he said.

‘Then there is the other quite separate development in English and Welsh law of pre-pack administrations. This means that the management and the senior creditors can just decide to leave the pesky junior creditors behind. We are just now getting into a period of frequent insolvencies.’

It is a concern voiced by many, including leading private equity boss Jon Moulton, who told Financial Mail more than a year ago that he believed pre-packs would eventually be challenged in the courts.

The crucial case in Britain came last year when the company IMO Car Wash went through a pre-pack administration. In that insolvency a High Court judge ruled that the junior debt holders could be cut out of the deal altogether and lose all their money.

It seems that the peculiarities of English law mean that London is simply the best place in the world for a company to die and come back to life not long afterwards.
